Key Responsibilities:1. Corporate Governance (Company Secretary Role):
• Board and Shareholder Meetings:
• Organize and manage board meetings, including preparing agendas, compiling board papers, and recording minutes.
• Ensure that board decisions are documented and followed up on.
• Manage annual general meetings (AGMs) and any extraordinary general meetings (EGMs) of shareholders.
• Regulatory Compliance:
• Ensure compliance with statutory and regulatory requirements, including filings with the Registrar of Companies and other regulatory bodies.
• Maintain statutory books, including registers of members, directors, and secretaries.
• Corporate Record Keeping:
• Manage the company’s statutory records, including share transfers, changes in directors, and other corporate actions.
• Ensure timely and accurate filing of corporate documents and resolutions.
• Advisory to the Board:
• Provide guidance to the board on corporate governance best practices and ensure that the company adheres to these standards.
• Advise on legal and regulatory matters affecting the company, including changes in company law.
2. Legal Management:
• Contract Management:
• Draft, review, and negotiate contracts, including supplier agreements, partnerships, NDAs, and employment contracts.
• Manage the company’s contractual obligations and ensure they align with business objectives.
• Compliance and Risk Management:
• Oversee compliance with applicable laws, including data protection (GDPR, CCPA), consumer rights, advertising standards, and e-commerce regulations.
• Identify potential legal risks and develop strategies to mitigate them.
• Ensure compliance with intellectual property laws, managing trademarks, copyrights, and patents.
• Litigation and Dispute Resolution:
• Manage any legal disputes or litigation involving the company, working with external counsel as necessary.
• Develop strategies for dispute resolution that protect the company’s interests.
• Strategic Legal Advisory:
• Provide legal advice to the executive team on various issues, including market expansion, product launches, and corporate transactions.
• Collaborate with other departments (e.g., marketing, finance) to align legal strategies with business goals.
• Policy Development:
• Develop and implement internal policies and procedures to ensure legal and regulatory compliance.
• Train staff on legal issues relevant to their roles, including data protection, contract management, and consumer rights.
3. Regulatory Affairs:
• Compliance Monitoring:
• Stay updated on relevant laws and regulations affecting the D2C industry, including consumer protection, data privacy, and advertising laws.
• Advise the company on necessary changes to policies or practices to remain compliant.
• Filing and Reporting:
• Ensure timely filing of statutory reports, including annual returns, financial statements, and any other regulatory filings.
Key Skills:
• Legal Expertise: In-depth knowledge of corporate law, intellectual property, e-commerce law, and consumer protection regulations.
• Corporate Governance: Strong understanding of corporate governance principles and practices.
• Regulatory Knowledge: Familiarity with regulatory requirements specific to the D2C industry.
• Attention to Detail: Precision in managing statutory records, legal documents, and compliance obligations.
• Communication: Ability to communicate complex legal and governance issues to non-legal stakeholders.
• Organizational Skills: Proficiency in managing multiple responsibilities, including legal and corporate governance tasks.
Qualifications:
• Education: A law degree (JD or equivalent) with additional qualifications in corporate governance (such as a Company Secretary qualification).
• Experience: Typically, 7-12 years of experience in legal roles, with at least 3-5 years in a corporate governance or company secretarial capacity.
• Certification: Certification as a Company Secretary (e.g., ICSI for India) may be required, depending on the jurisdiction
