Job Title: Qualified Company Secretary - Associate
Department: Compliance and Regulatory Affairs
Key Responsibilities:
Assist in compliance due diligence for venture capital transactions, ensuring seamless execution of complex deals.
Review Issue and Allotment documents for securities on rights issue, private placement, buyback, and preferential allotment basis, guaranteeing accuracy and adherence to regulations.
Maintain Foreign Exchange Management Act (FEMA) compliance, including FCGPR, FCTRS, ODI, APR, and FLA, to prevent any non-compliance issues.
Advise foreign companies on establishing a presence in India, navigating local laws and regulations to ensure smooth operations.
Lead compliance efforts for VC funding transactions, ensuring timely completion and minimal risks.
Coordinate the strike-off process under the Fast Track Exit Scheme, facilitating efficient company closure.
Ensure ESOP/Phantom Stocks compliance, aligning with regulatory requirements and best practices.
Supervise team members to deliver high-quality work products, fostering a collaborative environment.
Foster ongoing interactions with clients and stakeholders, maintaining open communication channels and addressing concerns promptly.
Implement processes and systems to maintain organizational excellence, adhering to legislation and industry standards.
Stay updated on legal and regulatory changes, adapting strategies to mitigate risks and capitalize on opportunities.
Develop and update policies in response to industry regulations and trends, ensuring proactive risk management.
Requirements:
A Company Secretary with a strong academic background and 2-5 years of post-qualification experience.
Ability to thrive in a fast-paced environment, handling multiple tasks and priorities effectively.
Solution-oriented mindset, resolving complex problems through creative and analytical thinking.
Excellent communication skills, enabling effective collaboration with cross-functional teams and external stakeholders.
