Job Title: Corporate Lawyer
Location: Delhi

Job Summary:
We are seeking a seasoned and highly qualified Corporate Lawyer to join our legal team. The ideal candidate will have extensive experience in corporate law, IPO, mergers and acquisitions (M&A), securities, compliance, and corporate governance. This role requires strong analytical skills, impeccable attention to detail, and the ability to advise senior management on complex legal issues affecting the organization. The Senior Corporate Lawyer will play a key role in managing corporate transactions, regulatory compliance, and safeguarding the legal interests of the company.
Key Responsibilities:
Corporate Governance: Advise the board and senior management on governance issues, assist with corporate structure, draft board resolutions, and ensure compliance with corporate governance best practices.
Securities & Compliance: Manage regulatory filings and ensure compliance with securities laws, including SEC reporting, disclosures, and insider trading policies. Oversee compliance with corporate policies, including anti-corruption, FCPA, and GDPR.
Initial Public Offering (IPO): Assess readiness, conduct due diligence, ensure regulatory compliance, draft offering documents, establish governance, coordinate with underwriters, engage investors, set pricing, prepare for public operations, and manage risks.
Contract Management: Draft, review, and negotiate complex agreements, including licensing, partnership, joint venture, and employment contracts.
Legal Risk Management: Proactively identify potential legal risks and implement strategies to mitigate them. Serve as an internal advisor on regulatory changes and industry trends impacting the company.
Litigation Oversight: Coordinate with external counsel on litigation matters, including dispute resolution, settlements, and strategy formulation.
Employee Training & Mentorship: Provide training to employees on legal issues affecting the company and mentor junior members of the legal team.
Qualifications:
Education: Juris Doctor (JD) or equivalent law degree from an accredited institution. Active bar membership in the state of Delhi.
Experience: Minimum 4+ years of relevant experience in corporate law, preferably within a top law firm or in-house at a multinational corporation.
Skills:
Expertise in corporate governance and securities
Strong negotiation skills and ability to manage complex transactions.
Excellent written and verbal communication.
High level of integrity, judgment, and professionalism.
Strong analytical skills with attention to detail.
Preferred Attributes:
Experience in Finance industry
Proficiency in regulatory compliance related to data privacy, environmental law, or financial reporting.
Strong leadership and project management skills.
