Our client a well known and regarded charitable organisation are seeking to hire a Legal and Contracts Manager who will provide general legal advice and support in a variety of areas including commercial risk, dispute resolution, brand protection, negotiation on contractual terms and conditions, relationship management, policy making, due diligence, intellectual property, and confidentiality. This role will provide in-house legal advice relating to all aspects of the charity’s work with a significant focus on contracts between the group and third-party organisations, vendors, partners, as well as on wide ranging governance advice. They will also advise the charity on mitigating risks, with a particular focus on risks associated with contracting and legal matters. This role is a full-time position although can be carried out completely remotely. Responsibilities: Legal Compliance and Advisory Ensure the charity complies with all applicable laws and regulations, including charity law, employment law, data protection, and other relevant legal frameworks. Provide legal advice and support to the organisation's leadership and staff on a wide range of issues, including but not limited to governance, fundraising, intellectual property, and regulatory compliance. Policies and Risk Management Develop and implement legal policies and procedures to ensure best practices and compliance with legal standards. Assist with the set up and management of a legal compliance programme. Promote compliance with internal policy and procedures, as well as driving process improvement in governance, reviewing and revising processes and structures, where required. Collaboration and Support Collaborate with various departments, including Finance, Fundraising, Clinical and People, to provide legal and contractual support. Conduct training sessions and workshops. This includes preparation of contract guides and presentations to promote compliance across the charity, as well as improving legal and commercial awareness to enable operational teams to effectively manage key contractual risks. Liaise with lawyers/legal advisors and/or contract managers and advisors in third-party organisations, where required. Documentation and Reporting Ensure the charity maintains accurate and up-to-date records of all legal documents and contracts. Prepare regular reports for the board and management on legal and contract-related matters. Keep up to date in areas of law relevant to the activities and functions of the charity. Contract Management and Contracts Register Draft and review contracts, agreements, and other legal documents to ensure the charity’s interests are protected. This could be contracts with vendors, suppliers, partners, etc. Ensure UK contract templates highlight the charity values, as well as ESG governance, insurance and business continuity requirements. Draft data processing agreements in conjunction with the Data Protection and Governance Officer. Lead the review of contracts’ terms and conditions for any new business opportunities and contract retenders, identifying and highlighting commercial risks, and preparing a legal summary for the sign-off process. Maintain oversight of legal contracts and agreements and ensure compliance with terms and conditions, as necessary. Responsible for monitoring contract performance from a legal and regulatory angle, including renewals and terminations. Work with procurement and other teams to manage vendor relationships and ensure contractual obligations are met. Handle legal disputes and contract negotiations with relevant parties, working with external legal counsel, when necessary. Explore the use of legal frameworks to provide best value for money to the charity. Responsible for the oversight of the Contracts register, and for providing support to colleagues on its effective completion. Conduct data analysis on the Contracts Register and prepare relevant reports for committee meetings. Person Specification: Fully qualified lawyer with more than 3 years PQE in a similar in-house Legal department environment is preferred. Proven commercial law experience preferably within a corporate or commercial environment. Strong knowledge of contract law and commercial law principles. Ability to build strong relationships with internal and external stakeholders. This will be a full-time remote opportunity with very occasional visits to the London office.
