Position: Senior Manager (Legal & Secretarial)
Qualification: CS, LLB
Experience: + to 12 years
Location: Navi Mumbai
Responsibilities:
• Organizing AGMs/EGMs and Board meetings as required by the Companies Act, including issuing notices, preparing agendas, drafting minutes, and generating reports/Board reports.
• Representing the organization before government bodies and regulatory authorities, including managing tasks with the Registrar of Companies, RBI, SEBI, NSDL/CDSL, Stock Exchanges, Debenture Trustees, Share Transfer Agents, and others.
• Providing strategic legal input to meet organizational goals and managing corporate restructuring activities such as mergers, demergers, divestments, and handling subsidiaries.
• Overseeing legal processes related to financial restructuring, name changes, and managing trademark/copyright/patent registrations.
• Handling the incorporation of companies, share dematerialization, and the listing of shares on stock exchanges.
• Drafting notices, agendas, and minutes for AGMs, Board, and various committee meetings.
• Conducting Board meetings, committee meetings, AGMs, and managing postal ballots.
• Preparing the Annual Report, including Boards Report, Management Discussion and Analysis, Corporate Governance Report, and Business Responsibility Report.
• Ensuring the maintenance of statutory registers and records.
• Filing relevant documents and forms with Stock Exchanges, SEBI, ROC, and other regulatory bodies.
• Managing issues related to DIN/DSC.
Statutory Compliance:
• Overseeing the timely filing and assessment of filings required by statutory and regulatory authorities.
• Preparing and submitting necessary documents and returns as per the Companies Act and FERA.
• Coordinating with banks and financial institutions for the creation of charges/securities and the satisfaction of charges.
• Managing merchant banking and foreign exchange dealings.
Legal:
• Drafting and reviewing agreements, power of attorney, and other legal documents.
• Engaging with internal and external stakeholders to manage legal tasks and assignments.
