Reporting to Manager, Contracts, the Contract Specialist will be responsible for supporting Smile’s contracts team and ensuring business needs are met by effectively managing risk through the implementation of key processes and policies necessary for effective contract and procurement management within an established contract management framework. This role will help manage both internal and external relationships through the contract lifecycle - from supporting the RFP process to reviewing supplier and customer contracts and supporting customer/vendor contract negotiations . This strategic oversight supports the delivery of strong, value-driven outcomes for the organization and its clients.
Responsibilities:
Prepare, review, negotiate, and administer a wide range of commercial agreements, including Software license agreements, Partner Agreements, vendor contracts, NDAs, and service agreements.
Collaborate with key cross-functional teams including, but not limited to, sales, delivery, compliance, procurement, finance, and operations to ensure contract terms meet legal, financial, and operational standards.
Implement and regularly update policies, procedures, and maintain best practices for contracts and procurement.
Support the end-to-end RFP process by collaborating closely with the Pursuit team, including but not limited to, drafting and evaluating proposals.
Support the Procurement team through review of Vendor contracts in accordance with established sourcing management policies.
Maintain an organized contract management system and ensure timely tracking of deliverables, renewals, and compliance checkpoints.
Provide guidance on contractual risk to internal teams and recommend strategies to improve terms, reduce liabilities, and enhance customer / supplier relationships.
Provide guidance in negotiations with respect to risk(s), governance processes/policies adherence and ensuring completion prior to final approval.
Assist in the maintenance of a vendor database capturing performance and quality of services(s) or product(s).
Ensuring compliance with all related laws and regulations.
Develop and provide daily, monthly and quarterly reports to cross-functional teams and leaders, as needed.
Requirements:
3+ years of experience in contract management or compliance, or 2+ years of experience in an in-house legal or contracts department preferably within a software company and with experience in a professional services environment.
Experience in healthcare and/or technology industry, preferred.
Post-secondary education in Business, Commerce, law, or a related field or equivalent experience.
Strong demonstrated experience of taking ownership and driving contract negotiations through to completion in collaboration with key cross-functional teams and stakeholders in a timely manner.
Exceptional oral and written communication skills, with strong persuasion and consensus-building abilities across diverse stakeholders.
Strong attention to detail with the ability to interpret and analyze legal, business and technical terms within complex documentation.
Proven ability to thrive in complex, fast-paced environments; highly adaptable and capable of working independently as well as within cross-functional teams.
Strong interpersonal and relationship building skills to collaborate effectively with internal teams and external customers and suppliers.
Demonstrated success as a change agent with experience leading or contributing to continuous improvement initiatives.
Excellent planning, time management, organizational, problem-solving, analytical, and decision-making capabilities.
In-depth demonstrated experience with Contract Lifecycle Management (CLM) software, strongly preferred
